These Terms of Service (“Terms”) are a binding agreement between you (“you,” “User,” or “Customer”) and Figger Up, LLC, a Wyoming limited liability company formed September 1, 2026, with its principal office at 7646 Greendell Ln, Highland, MD 20777, and registered to do business as a foreign limited liability company in Maryland (“Figger Up,” “we,” “us,” or “our”). They govern access to and use of the Figger Up websites, applications, and related services (the “Service”), including https://www.figgerup.com and https://app.myfiggerup.com.

By creating an account, checking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

If you do not agree, do not use the Service.

1. The Service

Figger Up is cloud software that helps contractors create priced scopes of work and proposals for restoration, renovation, exterior, electrical, plumbing, HVAC, and related trades. Features may include photo and plan upload, measurements, AI-assisted scoping and pricing, insurance-oriented line items, multi-user accounts, and proposal generation.

We may add, change, or remove features. We do not promise any particular feature will remain available. Beta or free-tier features may be limited or withdrawn at any time.

2. Eligibility and Accounts

• You must be at least 18 and able to form a binding contract.
• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and for safeguarding passwords and login codes.
• Team seats are for your employees and contractors only. Do not share a single login across unrelated companies.
• Notify us promptly at info@figgerup.com if you suspect unauthorized access.
• We may refuse, suspend, or close accounts that violate these Terms or that we reasonably believe present legal, security, or payment risk.

3. Subscriptions, Fees, Trials, and Taxes

New accounts receive twenty (20) free estimates with no credit card required. Paid plans and pricing are described on our pricing page and may change. Paid plans renew automatically at the then-current rate unless cancelled before the renewal date.

Fees are due in advance. Payments are processed by Stripe. You authorize us and Stripe to charge the payment method you provide.

Except where required by law, fees are non-refundable. Unused estimate credits do not roll over unless we say otherwise in writing.

You are responsible for sales, use, VAT, and similar taxes. If we are required to collect tax, we will add it to your invoice.

We may change prices with at least 30 days’ notice before the next renewal. Continued use after the new price takes effect is acceptance.

If payment fails, we may suspend access until the balance is paid.

Cancel through your account settings or by emailing info@figgerup.com. Cancellation stops future renewals; you keep access through the end of the paid period.

4. License to Use the Service

Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business estimating and proposal purposes.

You may not:

• copy, modify, reverse engineer, or create derivative works of the Service except as allowed by law;
• resell, sublicense, or provide the Service to third parties as a bureau or white-label without a written partner agreement;
• scrape, spider, or use automated means to extract pricing databases, models, or large volumes of output;
• bypass usage limits, rate limits, or security;
• use the Service to build a competing estimating product;
• upload malware or content you do not have rights to use;
• use the Service for any unlawful purpose, including submitting fraudulent insurance claims.

5. Your Content and Job Data

“Customer Data” means everything you or your users upload or create in the Service: photos, plans, PDFs, spreadsheets, measurements, questionnaires, line items, price books, customer names and job addresses you enter, proposals, and comments.

You retain all ownership of Customer Data. We do not claim ownership of your jobs, photos, estimates, or client lists.

You grant Figger Up, LLC a worldwide, limited license to host, process, display, and transmit Customer Data solely to provide, secure, and support the Service, to prevent fraud and abuse, and to comply with law.

You represent that you have all rights needed to upload Customer Data (including photos of properties and any personal information about property owners or occupants) and that your use will not violate privacy, publicity, copyright, or confidentiality duties you owe to owners, carriers, or general contractors.

Upon written request after termination, we will make Customer Data available for export for a commercially reasonable period (typically 30 days) and then delete or anonymize it from production systems, except copies retained in backups for a limited time or as required by law.

6. AI Features and Estimate Disclaimer — Read This

Estimates, scopes, quantities, unit costs, drying calculations, MEP takeoffs, insurance line items, and proposals generated by the Service are tools and starting points. They are not professional engineering, architectural, surveying, insurance adjusting, or licensed contracting advice.

The Service uses Anthropic’s Claude AI to analyze photos and help draft scopes. AI output can be incomplete, outdated, or wrong. Labor and material prices change. Codes, carrier guidelines, and IICRC practices vary by job. Photos and plans can be misread.

You — not Figger Up, LLC — are solely responsible for:

• reviewing and correcting every line item, quantity, and price before you send a proposal or file a claim;
• confirming measurements on site;
• complying with licenses, permits, building codes, OSHA, IICRC, carrier guidelines, and contract documents;
• the work you perform and the numbers you present to owners, GCs, and insurers.

Figger Up, LLC does not guarantee that any estimate will be accepted by an insurer, match actual job cost, or be free of error. Do not treat Service output as a quote you are bound to honor unless you have independently verified it.

Job photos, plans, and related text may be sent to Anthropic solely to generate analysis and estimates for your account. We do not use your identifiable job files to train publicly available foundation models, and we do not permit Anthropic to train its models on Figger Up Customer Data under our API arrangement. We may use aggregated, de-identified usage statistics to improve the product.

7. Intellectual Property

Figger Up, the Service, the software, models, questionnaires, default price structures, look and feel, logos, and documentation are owned by Figger Up, LLC or its licensors. These Terms do not transfer any of that IP to you except the limited license in Section 4.

Feedback you send us (suggestions, bug reports) may be used by us without restriction or compensation.

8. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and will protect it with at least reasonable care. Exceptions: information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law (with notice if legally allowed).

9. Third-Party Services

The Service relies on third-party providers, including Vibecode (hosting, database, file storage, and login-code email), Resend (service notification email), Stripe (payments), and Anthropic (AI analysis). Their terms apply to their services. We are not responsible for third-party outages or changes outside our reasonable control.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF ESTIMATES OR AI OUTPUT.

We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the Service is free of harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIGGER UP, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST JOBS, LOST INSURANCE RECOVERY, COST OF COVER, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. IF YOU ARE ON A FREE PLAN, OUR TOTAL LIABILITY IS ONE HUNDRED U.S. DOLLARS (US $100).

Some states do not allow certain limitations. In those states, our liability is limited to the greatest extent permitted.

These limits are a fundamental part of the bargain. The Service would not be offered at the same price without them.

12. Indemnification

You will defend and indemnify Figger Up, LLC against claims, damages, and reasonable attorneys’ fees arising from: (a) your Customer Data; (b) your use of the Service or of any estimate you send to a third party; (c) your violation of these Terms or of law; or (d) a dispute between you and a property owner, insurer, GC, or employee.

13. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access immediately for non-payment, suspected fraud, legal risk, or material breach. We may discontinue the Service with reasonable notice.

Sections that by nature should survive (including 5–12 and 14–16) survive termination.

14. Changes to These Terms

We may update these Terms. We will post the new version and update the “Last updated” date. Material changes will be notified by email or in-app notice. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except that Maryland law may apply to the extent it mandatorily governs a foreign LLC that maintains an office and transacts business in Maryland.

The state and federal courts located in Wyoming, or alternatively in Maryland if a court determines that is the proper forum given our Maryland office, will have jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Before filing a lawsuit, the parties will attempt good-faith negotiation for 30 days after written notice.

You may only resolve disputes with us on an individual basis. Class, consolidated, or representative actions are waived to the extent permitted by law.

16. Miscellaneous

Entire agreement.

These Terms and the Privacy Policy are the entire agreement regarding the Service.

Severability.

If a provision is unenforceable, the rest remains in effect.

No waiver.

Failure to enforce is not a waiver.

Assignment.

You may not assign these Terms without our consent. We may assign them in connection with a merger, sale, or reorganization.

Force majeure.

We are not liable for delays caused by events beyond reasonable control.

Notices.

We may notice you via the Service or the email on your account. Legal notices to us: Figger Up, LLC, 7646 Greendell Ln, Highland, MD 20777, info@figgerup.com. Service of process may also be made on our Wyoming registered agent: Northwest Registered Agent Service, Inc., 30 N Gould St, Ste N, Sheridan, WY 82801.

Export and sanctions.

You will not use the Service in violation of U.S. export or sanctions laws.

Government users.

The Service is commercial computer software. Government use is subject to these Terms.
